The U.S. Bankruptcy Court for the Southern District of New York approved the Chapter 11 plan of reorganization for Broadway Realty 1 Co., LLC and its affiliates and confirmed the sale of a major rent-stabilized housing portfolio to Summit Gold Inc.
The transaction covered 93 rent-stabilized properties comprising approximately five thousand one hundred and fifty residential units across New York City, with a total transaction value of USD 451 million.
The deal ranks as one of the largest sales of rent-stabilized assets in New York since 2019.
Chapman acted as counsel to Summit Gold Inc. on the successful bid and acquisition.
The Chapman team was led by partners Michael Friedman, Eric Silvestri, and Michael Twersky, with support from associate Yuliya Zahoroda.

The target holds a U.S. customs broker license and operates as a registered land freight forwarder, enabling eezyimport to broaden its U.S. operational capabilities and strengthen end-to-end customs clearance and freight services for international trade flows.

Israeli real estate group Medipower entered into a jointly owned U.S. investment platform with Phoenix Insurance Company, one of Israel’s largest institutional investors.

The parties capitalized the vehicle at USD 220 million, funded equally, to acquire and manage neighborhood retail real estate assets across the United States.

Greenberg Traurig advised Medipower on the establishment of the joint venture and the formation of the investment platform. The transaction was led by shareholder Lawrence Sternthal, supported by the firm’s Tel Aviv real estate team.

Last week, the Tel Aviv District Court rejected a long-running bid to certify a broad class action targeting Israeli energy group Paz Oil Company Ltd. and other firms operating in the Haifa Bay industrial zone, including chemical and refining businesses.

The proposed suit, brought on behalf of roughly 530,000 residents, sought massive compensation over alleged air pollution, increased illness and loss of autonomy. The court found that petitioners did not present credible scientific or factual proof of abnormal emissions, heightened morbidity, or any causal link to the companies’ activities.

The judgment also rejected the scientific theories advanced, noting they lacked research support and had previously been dismissed. The ruling underscores the need for rigorous evidentiary and scientific scrutiny in complex class actions.

In another class action success for the firm, the Tel Aviv District Court denied a motion to certify a class action seeking damages of tens of millions of NIS against Stellantis, a global automotive manufacturer headquartered in the Netherlands, and Samelet Motors, an Israeli vehicle importer and distributor. The ruling ended proceedings that ran for approximately six years.

S. Horowitz acted for Stellantis and Samelet Motors throughout the proceedings, with the team including partners Hagai Doron, Uriel Prinz, Ilan Golod, and associate Almog Gersh.

Israeli property development and investment company Rami Levy Real Estate has completed its IPO on the Tel Aviv Stock Exchange in one of the largest and most significant stock offerings in Israel in recent years.

The company completed a capital raise (shares and options) for a total of NIS 520 million, at a company value of approximately NIS 2.95 billion (according to the money).

Erdinast, Ben Nathan, Toledano led the company through the IPO process over the past year, with the IPO led by partners Moti Yamin and Jonathan Chaimi Ehrenreich, together with Anastasia Schiff.

In a separate matter, Apax Israel, an Israeli private equity firm investing across technology, services, and consumer-facing sectors, acquired a 50% stake in HFD, an Israeli delivery and logistics company operating a nationwide network of delivery points, parcel lockers, and logistics centers in Israel and abroad.

The transaction values HFD at approximately USD 55 million and strengthens Apax Israel’s position in Israel’s logistics and last-mile delivery market.

The Israeli Supreme Court unanimously overturned decisions by the Government of Israel to change the dismissal mechanism for the Attorney General and remove Gali Baharav-Miara, Israel’s chief legal officer overseeing prosecutions and government legal advice.

The Court ruled that the government rushed a flawed process, lacked a substantive basis to deviate from the Shamgar Commission framework adopted in 2000, and ignored conflicts created by a ministerial committee that had already taken public positions. The Court clarified that Baharav-Miara remains lawfully in office, voided the dismissal, and barred any unilateral steps affecting her authority or operations.

The petition came from Israeli civil society groups and senior academics, including professors, Nobel laureates, and former university presidents, reflecting concerns about governance and the rule of law.
