16 The US-Israel Legal Review 2019

ISRAEL DESKS LEAGUE TABLES

KIRKLAND & ELLIS

The Israel Practice of distinguished law firm

Kirkland & Ellis (“Kirkland”) holds one of the

leading positions with regards to M&A in Israel,

with a raft of high profile and sophisticated

transactions closed. Its strong presence owes much

to many longstanding business relationships and

the firm’s reputation as one of the most prolific

M&A and Private Equity practices around.

In 2018, the team advised on two of the largest

transactions in the Israeli market – acting for the

buyer, SK Capital, on the USD 1 billion acquisition

of Israel Chemicals’ fire safety and oil additives

business, and for the Israeli seller, Mazor Robotics

in its USD 1.6 billion sale to Medtronic. Other

notable instructions included the representation

of the US public company, Grubhub, which acquired

Israe

li campus food ordering platform

Tapingo for

USD

150 million.

KOBRE & KIM

Focused exclusively on disputes and investigations,

Kobre & Kim enjoys a strong reputation for

representing Israeli clients in cross-border disputes

involving Israel, the US, Europe, Asia and other

jurisdictions. Robert Henoch and Michael Rosen

are instrumental figures in a tight-knit team, which

earns significant roles in sensitive and high-profile

litigation, and also helps Israeli start-ups through

a dedicated litigation fund, launched in partnership

with litigation finance firm Bentham IMF in 2018.

As the only firm with a former US federal

prosecutor based full time in Israel (Robert

Henoch), the team specializes in assisting Israeli

clients in complex international government

investigations. One striking example has been its

role as Independent Examiner for the US Department

of Justice Tax Division in their investigation of

Bank Hapoalim’s entities in Israel, Switzerland,

Luxembourg, Singapore, the Cayman Islands,

and the US in relation to allegations of the Bank’s

support in evading their US tax obligations. Israeli

clients also benefit from the senior experience of

a US-trained IP litigator with almost two decades’

experience of US courts, with recent examples

including the representation of technology company,

ScaleMP, in a patent enforcement and potential trade

secre

t misappropriation matter against

rival start-

up Ti

dalScale.

HAM & WATKINS

Latham & Watkins’ (“Latham”) Israel Practice

leverages its global reach to provide strategic advice

to Israeli clients on some of the highest profile and

highest value M&A and capital markets transactions

in the Israeli market. The Latham team represented

the seller on the transactional and antitrust aspects

of the USD 1 billion sale by Israel Chemicals of its fire

safety and oil additives business units to SK Capital

Partners. The team plays an instrumental role for

buyers, sellers and financial advisors on a string

of acquisitions, such as acting for Mimecast on its

acquisition of Solebit LABS, an Israel-based security

software developer, and representing J.P. Morgan

Securities as financial advisor to Mazor Robotics,

an Israel-based medical device company, which was

acquired by Medtronic in a USD 1.6 billion deal.

Joshua Kiernan and Stuart Kurlander in

the London and Washington D.C. offices are

instrumental figures in the 33-strong team, which

regularly advises on initial public, follow-on and

private offerings. For example, the team advised

clinical-stage dermatology company Sol-Gel

Technologies Ltd. on its IPO and handled a USD 385

million private offering for global web development

platform, Wix.com. While acting for prolific Israeli

companies, such as Wix.com, Latham’s Israel

Practice also serves investment banks, government

entities, and venture capital firms that focus on the

Israeli market. For example, the team represented

BC Partners, one of the largest European private

equity firms, on its investment in the Keter Group, a

longstanding Israeli manufacturer and marketer of

hous

ehold and garden consumer products

, with a

chai

n of retail stores in Israel and worldwid
