Azrieli Group to sell Compass Data Centers, at USD 5.7 billion valuation

Azrieli Group has confirmed its plans to sell Canadian company Compass Data Centers at a valuation of USD 5.7 billion to a consortium led by Brookfield Infrastructure Partners LP (“Brookfield”) and existing investor Ontario Teachers’ Pension Plan.

Azrieli Group holds 32% of the company.

Goldfarb Gross Seligman advised Brookfield, with support from the International Corporate and Hi-Tech, Real Estate, Corporate and Capital Markets, Corporate, Finance and Infrastructure, Environmental Law and Sustainability, and Antitrust and Competition departments.

Brookfield Infrastructure engaged Kirkland & Ellis LLP as legal counsel. Paul, Weiss, Rifkind, Wharton & Garrison LLP is serving as legal counsel to Ontario Teachers’. Fried, Frank, Harris, Shriver & Jacobson LLP and Wick Phillips, LLP served as legal counsel to Compass. DLA Piper served as legal counsel to Compass Management. Fried Frank served as legal counsel to RedBird.
