Michael J. Torosian represents emerging companies and investors in financings at all stages, from seed funding

recapitalizations. Mike also represents issuers and investment banks in IPOs and follow-on and secondary offerings as
well as convertible debt offerings under Rule 144A. He represents buyers and sellers in private and public merger and
acquisition transactions.
Mike acts as general outside counsel to private and public companies at all stages of development particularly in the
technology, cleantech and life sciences industries.
Victoria Lee has beenpracticing inDLAPiper's Technology andSourcingpractice for over 17years. Her practice focuses
on representation of emerging growth and public companies in complex technology and commercial transactions in the
software and semiconductor industry, as well as a variety of other industry sectors. Victoria has extensive expertise in
