Neil Cooper and David Gitlin are past Philadelphia-Israel Chamber of Commerce presidents and serve on its Board of Directors. David Gitlin lives and works in Tel Aviv for approximately 7 months per year.   • ProntoNLP Acquisition by S&P Global Market Intelligence

    Served as U.S. counsel to ProntoNLP, a leading provider of Generative Artificial Intelligence (GenAI) tools, in its acquisition by S&P Global Market Intelligence. This strategic acquisition enables ProntoNLP, an Israeli company, to leverage S&P Global’s vast resources, enhancing its service offerings and expanding capabilities. RCCB assisted Israeli counsel on aspects of the transaction involving U.S. law.

  • Kafrit Industries Acquisition of a U.S. Company

    Represented Kafrit Industries (1993) Ltd., a global masterbatch producer for the plastics industry, in the $48 million acquisition of a U.S. family-owned company specializing in color concentrates. RCCB provided strategic advice and managed the deal process in collaboration with Israeli counsel.

  • Cormed Ltd Asset Acquisition

    Represented Cormed Ltd, a newly formed entity of three Israeli-based partners, in acquiring assets of an Iowa company manufacturing a closed system transfer device used in chemotherapy for $10 million plus earnouts valued at $20 million.

  • Lidorr Elements Ltd. Sale to Azelis Group NV

    Served as lead counsel to Lidorr Elements Ltd. in its strategic sale to Azelis Group NV, a global service provider with operations in 57 countries.

  • TIBA Group Shareholder Representation

    Served as U.S. counsel for shareholders, including Israeli private equity fund Tene Capital, in the sale of all stock of TIBA Group, an Israel-based provider of turnkey parking site solutions, to FAAC (Italy) for $135 million.

  • Cellect Biotechnology, Ltd. Merger & Sale

    Acted as U.S. counsel for Cellect Biotechnology, Ltd., an Israeli NASDAQ-traded company, in its merger with Quoin Pharmaceuticals, Inc. and the sale of its subsidiary, Cellect Biotherapeutics, Ltd., to EnCellX, Inc.

  • Global Digital Engineering Company Acquisition

    Represented a leading NYSE-listed global digital engineering and software development company with over 30,000 employees in acquiring an Israeli technology company and its U.S. subsidiary specializing in big data, software development, and cloud migration.

  • Habonim Industrial Valves & Actuators LTD Sale

    Served as U.S. counsel to shareholders of Habonim Industrial Valves & Actuators LTD in its $140 million sale to ITT Industries Luxemburg SARL. Tene Investment Funds was the controlling shareholder.

  • SJF Ventures Investment in Waycare

    Represented North Carolina-based SJF Ventures in its investment in Israeli traffic optimization startup Waycare. SJF led the $7.3 million round to support Waycare’s AI-based transportation management solutions.

  • Application Problem Resolution Software Acquisition

    Represented an Israel-based software provider in its acquisition by a large U.S. software company, structuring a complex stock purchase agreement incorporating a novel statutory “take-along” provision.

  • Agricultural Products Portfolio Company Financing

    Represented the U.S. and Mexican agricultural products portfolio company of an Israeli private equity firm in a $17 million receivables factoring transaction.

  • NASDAQ-Traded Israeli Company Transactions

    Acted as U.S. counsel for a NASDAQ-traded Israeli company in its merger with a pharmaceutical company and the sale of its subsidiary.
