Golf & Co Group Ltd. signs merger with Adika Style Ltd. in fashion/clothing sector

Golf & Co Group Ltd. has agreed to a merger with Adika Style Ltd. in the fashion/clothing sector. The transaction – via a reverse triangular merger – is expected to close in Q4 2022.
Herzog represented Golf in the negotiations with the independent committee established by Adika’s board of directors and advised Golf in all legal aspects of this complex transaction in which a public company (Adika) is being acquired by its controlling shareholder (Golf).
The Herzog team was led by partners Nir Dash and Efrat Tzur, along with associates Ofek Galipoliti and Noa Rassabi. Intern Netta Tauber was also part of the Herzog team.
