Nayax has completed its acquisition of US smart parking technology provider IPS Group in an all-cash transaction valued at USD 350 million.

The deal expands Nayax’s presence in the global smart mobility market by combining its payments and commerce platform with IPS Group’s parking technology, while also strengthening its offering across EV charging and related mobility infrastructure.

The transaction was financed in part through approximately USD 150 million in debt provided by Bank Hapoalim and First International Bank of Israel. The financing supported Nayax’s acquisition of IPS Group while bringing Israeli financial institutions into a major US cross-border transaction.

Arnon, Tadmor-Levy advised Nayax on the acquisition financing, with the team led by Aviad Lachmanovitch and Simon Weintraub. The firm worked alongside Reed Smith, which served as legal counsel to Nayax.

Kirkland & Ellis represented IPS Group and Windjammer Capital Investors.
